1. Acceptance of Terms

By accessing or using the Nura platform, including our website at nura-pro.com, our mobile application, and all related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Service.

These Terms constitute a legally binding agreement between you (the "User," "you," or "your") and Nura Pro LLC ("Nura," "we," "us," or "our"). By using our Service, you represent that you are at least 18 years of age and have the legal authority to enter into these Terms.

2. Description of Service

Nura provides a construction project management platform designed for renovation contractors and construction professionals. The Service includes tools for:

  • Project scope management, estimating, and scheduling
  • Client communication via integrated SMS/text messaging, WhatsApp, email, and voice calling
  • Invoicing, payment tracking, and financial management
  • Photo library and documentation management
  • Client portal for project transparency
  • AI-powered features including photo analysis, call transcription, and project summaries
  • Team management and subcontractor coordination

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will make reasonable efforts to notify you of significant changes.

3. User Accounts

To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or use of your account
  • Ensuring that all information associated with your account is accurate and up to date

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used for fraudulent or unlawful purposes.

4. User Responsibilities for Messaging

As a user of Nura's integrated messaging features, you acknowledge and agree to the following:

  • Consent Obligation: You are responsible for obtaining all necessary consents from your clients, subcontractors, and other contacts before sending them SMS/text messages, WhatsApp messages, or other communications through the Nura platform. This includes compliance with the Telephone Consumer Protection Act (TCPA), CTIA Messaging Principles, and all applicable federal, state, and local laws.
  • Lawful Use Only: You will use the messaging features only for legitimate business communications related to your construction projects and professional activities. You will not use the Service to send spam, unsolicited marketing messages, or any content that is unlawful, harassing, abusive, or deceptive.
  • Opt-Out Compliance: You must honor all opt-out requests promptly. When a recipient replies STOP or otherwise requests to stop receiving messages, you must cease further communications to that number.
  • Record Keeping: You are responsible for maintaining records of consent from your contacts, including when, where, and how consent was obtained.
  • Indemnification for Messaging: You agree to indemnify and hold Nura harmless from any claims, damages, or penalties arising from messages you send without proper consent or in violation of applicable laws.

5. SMS/Text Messaging Terms

The following terms apply to all SMS/text messaging conducted through the Nura platform:

Consent

By providing your phone number and opting into our text messaging program, you consent to receive text messages from Nura, including transactional notifications, project updates, appointment reminders, and service-related communications.

Message Types

Messages may include project status updates, scheduling reminders, invoice notifications, client communications, and other service-related content.

Message Frequency

Message frequency varies based on project activity and communication needs. Recurring messages may be sent for ongoing project updates.

Message and Data Rates

Message and data rates may apply. Contact your mobile carrier for details about your messaging plan and any applicable charges.

Opt-Out

You can opt out of receiving text messages at any time by replying STOP to any message from Nura. You will receive a one-time confirmation message acknowledging your opt-out request. No further messages will be sent unless you re-subscribe.

Carrier Liability

Carriers are not liable for delayed or undelivered messages. Message delivery is subject to effective transmission by your mobile carrier.

Privacy

Your privacy is important to us. See our Privacy Policy for details on how we handle your information, including phone numbers and messaging data. We do not sell or share your phone number or messaging data with third parties for marketing purposes.

6. User Content

You retain ownership of all content, data, and materials you submit to the Service ("User Content"), including project information, photos, documents, messages, and business data.

By submitting User Content, you grant Nura a non-exclusive, worldwide, royalty-free license to use, store, reproduce, and display your User Content solely as necessary to provide, maintain, and improve the Service. This license terminates when you delete your content or close your account, except where retention is required by law or for legitimate business purposes (such as maintaining backup copies or compliance records).

You represent and warrant that you have all necessary rights to submit your User Content and that your content does not violate any third-party rights or applicable laws.

7. Prohibited Uses

You agree not to use the Service to:

  • Violate any applicable law, regulation, or these Terms
  • Send spam, unsolicited messages, or bulk messaging without proper consent
  • Transmit harmful, threatening, abusive, harassing, or defamatory content
  • Impersonate any person or entity, or falsely represent your affiliation
  • Interfere with or disrupt the Service, servers, or networks
  • Attempt to gain unauthorized access to any part of the Service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to collect personal information of others without consent
  • Use automated means (bots, scrapers) to access the Service without permission
  • Circumvent any technological measures designed to protect the Service

8. Intellectual Property

The Service, including its design, features, code, text, graphics, logos, and all related intellectual property, is owned by Nura Pro LLC and is protected by copyright, trademark, and other intellectual property laws.

Nothing in these Terms grants you any right to use Nura's trademarks, logos, or branding without our prior written consent.

9. Third-Party Services

The Service integrates with and relies on third-party services, including but not limited to:

  • Twilio: For SMS/text messaging, WhatsApp messaging, and voice calling
  • Supabase: For data hosting and backend infrastructure
  • Payment Processors: For invoicing and payment collection
  • AI Providers: For photo analysis, transcription, and other AI features
  • Email Providers: For email integration (Gmail, Microsoft)

Your use of these third-party services is subject to their respective terms and privacy policies. Nura is not responsible for the actions, content, or practices of any third-party service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NURA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

Nura is not responsible for any delays, failures in delivery, or other issues related to the transmission or receipt of text messages, voice calls, or emails. Delivery of communications is subject to effective transmission by carriers and networks and is not guaranteed by Nura.

IN NO EVENT SHALL NURA'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU HAVE PAID TO NURA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Nura Pro LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Messages you send through the platform without proper recipient consent
  • Your violation of any applicable law, regulation, or third-party right
  • Any User Content you submit to the Service

12. Termination

You may terminate your account at any time by contacting us at team@nura-pro.com.

We may suspend or terminate your account and access to the Service at any time, with or without cause, including for violation of these Terms, non-payment, or conduct that we determine is harmful to other users or the Service.

Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including Sections 6, 10, 11, and 13.

13. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or equitable relief in a court of competent jurisdiction.

14. Changes to These Terms

We may revise these Terms from time to time. When we make changes, we will update the "Last updated" date at the top of this page. For material changes, we will provide notice through the Service or via email.

Your continued use of the Service after any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you should stop using the Service.
